1. About Skillvera

Skillvera is a live cohort learning platform that connects learners with instructors through structured online courses, classroom sessions, assignments, recordings, and related digital services (collectively, the “Platform”).

These Terms of Service govern your access to and use of the Platform. By creating an account, enrolling in a course, using any part of the Platform, or paying for any service, you agree to these terms. If you do not agree, do not use the Platform.

2. Accounts and eligibility

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You must be at least 16 years old to use the Platform. If you are under 18, you confirm that a parent or guardian has reviewed and agreed to these terms on your behalf.

We may suspend, restrict, or terminate accounts that contain false information, appear to be used by multiple persons, are involved in abuse, fraud, chargeback misuse, content theft, or otherwise breach these terms.

3. Courses, enrolment, and access licence

When you purchase or are granted access to a course, you receive a limited, non-exclusive, non-transferable, revocable licence to access that course for your personal learning use only, subject to these terms.

Course access is personal to the enrolled user. You may not share your login, resell your seat, permit others to attend through your account, or redistribute any classroom access details.

Course schedules, instructors, classrooms, features, and content may change from time to time. Skillvera may update or discontinue any part of a course where reasonably necessary for operations, quality, safety, or legal compliance.

4. Payments, refunds, and chargebacks

Unless otherwise stated, payments are processed in Nigerian Naira (NGN) through third-party payment processors such as Paystack. Where prices are shown in another currency, those amounts are indicative and may vary based on the applicable exchange rate or processor conversion.

Refund requests submitted within 7 days of purchase and before the first live session may be reviewed on a case-by-case basis. Except where required by law or expressly stated by Skillvera, refunds are generally not available after a cohort has started, after substantial course access has been used, or where access has been suspended for breach.

If you initiate a chargeback or payment dispute in bad faith, or after receiving the relevant service or access, we may suspend your account, revoke access, and pursue recovery of the disputed amount and any related administrative costs to the extent permitted by law.

5. Intellectual property and anti-theft protections

The Platform, its design, branding, curriculum structures, course materials, videos, classroom recordings, worksheets, slides, code samples, downloads, graphics, text, assessments, and other content are owned by Skillvera, its licensors, or its instructors, and are protected by applicable intellectual property laws.

Except for the limited access licence expressly granted in these terms, no right, title, or interest in any intellectual property is transferred to you. All rights not expressly granted are reserved.

You must not, without prior written permission:

• record, screen-capture, stream, or rebroadcast live classes
• copy, download in bulk, reproduce, publish, or repost content
• share course files, invite links, recordings, or handouts
• remove watermarks, notices, labels, or attribution markers
• sell, license, sublicense, or commercially exploit materials
• use Skillvera content to create competing products or courses

Skillvera may use watermarking, access logs, device history, and other reasonable technical measures to detect misuse, unauthorised redistribution, or content theft. Suspected infringement may result in immediate suspension, permanent termination, takedown demands, legal claims, and disclosure of relevant records where permitted by law.

6. Acceptable use

You agree not to:

• share, resell, redistribute, or broker access to the Platform
• harass, threaten, impersonate, or abuse students or staff
• scrape, crawl, mine, or extract content or data at scale
• use bots, automation, or unauthorised scripts to access the Platform
• probe, reverse engineer, or interfere with the Platform's security or operations
• upload malicious code, infringing material, or unlawful content
• use the Platform for any unlawful purpose or in violation of applicable law

Violations may result in immediate suspension or termination without refund, as well as further legal or technical enforcement actions.

7. Monitoring, recordings, and enforcement

Skillvera may monitor usage of the Platform for quality, support, security, fraud prevention, chargeback management, and enforcement of these terms. This may include maintaining logs of access, session activity, downloads, device/browser details, and related usage signals.

Live classes or support interactions may be recorded or retained for operational, educational, dispute-resolution, or compliance purposes. By participating in such sessions, you consent to that processing to the extent permitted by applicable law.

We reserve the right to remove content, restrict functionality, cancel enrolments, deny access, or preserve evidence where we reasonably believe misuse, fraud, or infringement has occurred.

8. Instructors and third-party services

Instructors on Skillvera may deliver teaching content through the Platform or approved third-party tools. Skillvera may assign, reassign, or remove instructors, guest speakers, or assistants as reasonably necessary.

Certain parts of the Platform may rely on third-party services, including payment processors, live classroom providers, hosting providers, and communications tools. Skillvera is not responsible for outages or failures caused solely by those third-party systems, although we will act reasonably to mitigate their impact.

9. Disclaimer and limitation of liability

The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Skillvera does not guarantee uninterrupted access, error-free operation, or any specific academic, employment, or commercial outcome from use of the Platform.

To the maximum extent permitted by law, Skillvera will not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of income, data, business, goodwill, or opportunity.

Skillvera's total aggregate liability for any claim arising out of or relating to the Platform or these terms shall not exceed the amount you paid to Skillvera in the 12 months preceding the event giving rise to the claim.

10. Indemnity

You agree to indemnify and hold harmless Skillvera, its directors, officers, employees, contractors, and instructors from claims, losses, liabilities, damages, and reasonable costs arising from your misuse of the Platform, your breach of these terms, your infringement of another person's rights, or your unlawful conduct.

11. Changes to these terms

We may update these terms from time to time. We will post the updated version on this page and may notify users of material changes by email, notice within the Platform, or other reasonable means. Continued use of the Platform after the effective date of an update constitutes acceptance of the revised terms.

12. Governing law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria. Subject to any mandatory dispute-resolution procedure required by law, the courts of competent jurisdiction in Nigeria shall have authority over disputes arising out of or relating to these terms or the Platform.

Where unauthorised disclosure, misuse, or infringement of Skillvera's intellectual property is threatened or occurs, Skillvera may seek urgent injunctive or equitable relief in addition to any other available remedies.
